FledgeNow Terms & Conditions
These Terms & Conditions ("Terms") govern your access to and use of the FledgeNow mobile application and related services (collectively, the "Service"), operated by Eagletpip LLC ("Eagletpip," "we," "us," or "our"), an Arizona limited liability company with its principal place of business at 1371 W Raven Dr, Chandler, AZ 85286.
BY CREATING AN ACCOUNT, DOWNLOADING, OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
1. Description of the Service
FledgeNow is a family safety application organized around a "Nest" — a group of connected member profiles, each tied to a device. FledgeNow shares each member's status and location only with the other members of that member's Nest, and provides:
- Trip start and trip end notifications, derived from automated, passive trip detection;
- Device battery status alerts;
- Permission-change alerts, notifying the Nest when a member's device location, motion, notification, or Critical Alerts permission is changed or revoked;
- A member location map, which displays each member's most recent reported location to other members of the same Nest using map markers. Location is updated at certain events — such as when a member opens the app, when a trip ends, or when a member sends or receives an SOS or Emergency Alert — and is not streamed continuously in real time;
- SOS, a member-initiated broadcast alert that sends the sender's current location and approximate street address to all members of the Nest, together with a link to navigate to that location; and
- Emergency Alerts, a member-initiated one-to-one alert to a specific Nest member.
Both SOS and Emergency Alerts use Apple's Critical Alerts capability (where approved and available) to deliver a high-priority audible notification to the recipient's device, including when that device is set to silent, Do Not Disturb, or Focus mode.
Privacy of location and status. Information shared through the Service — including location, trip events, battery status, and permission status — is visible only to members of your Nest. It is never shared with the public, with other FledgeNow users outside your Nest, or sold to third parties. See our Privacy Policy for details on what we collect, how long we retain it, and how it is protected.
Device-level on/off, not per-message granularity. The Nest Admin can turn a member device's outbound passive automatic notifications (trip start/end, battery status, permission-change alerts) on or off for that device as a whole. The Nest Admin cannot selectively enable or disable individual message types for a given device — a device's passive notifications are either on or off. Turning them off stops that device from broadcasting its own passive events to the Nest; the device still receives notifications from other members. SOS and Emergency Alerts are never affected by this setting: a Nest member can always send and receive SOS and Emergency Alerts, regardless of whether passive automatic notifications are turned on or off for that device.
FledgeNow does not provide continuous, always-on, real-time location tracking, and does not evaluate or score driving behavior. The location map reflects each member's most recently reported location as of the events described above, which may not represent a member's actual current whereabouts.
2. Eligibility and Accounts
2.1 Nest Admin. The person who creates a Nest ("Nest Admin") must be at least 18 years old. The Nest Admin is responsible for inviting members to the Nest, configuring sharing/notification settings for each member's device (see Section 3.2), and ensuring that any minor connected to the Nest is a child for whom the Nest Admin is the parent or legal guardian, or for whom the Nest Admin has obtained the consent of a parent or legal guardian.
2.2 Nest Members. A Nest may include adult members (e.g., both parents, other relatives, caregivers) and minor members aged 13 to 17 ("Minor Members"). The Service is not directed at, and must not be used to monitor, any child under the age of 13. If we become aware that a Minor Member connected to a Nest is under 13, we will disable the associated profile and delete the relevant data as described in our Privacy Policy.
2.3 Transparency Requirement for Minor Members. Regardless of how sharing settings are configured, the Nest Admin represents and agrees that any Minor Member has been informed of what information about their device (location, trip start/end, battery status, and/or permission-change events) will be shared with which other Nest members. FledgeNow does not permit covert or undisclosed monitoring of a Minor Member, and the Service must not be configured or used to conceal its operation from a Minor Member. This transparency requirement applies regardless of the sharing configuration chosen for adult members.
2.4 Account Accuracy. You agree to provide accurate registration information and to keep it up to date.
3. The "Nest" and Sharing Configuration
3.1 A "Nest" refers to the group of member profiles and devices connected under a single Nest Admin.
3.2 Device-Level Notification Toggle. The Nest Admin can turn a member device's outbound passive automatic notifications (trip start/end, battery status, permission-change alerts) on or off for each device connected to the Nest. This is an on/off setting per device, not a setting for individual message types — a device's passive notifications are either fully on or fully off. Turning off passive notifications for a device stops that device from broadcasting its own passive events to the Nest but does not stop it from receiving other members' notifications, and does not disable that device's ability to send or receive SOS or Emergency Alerts (see Section 5).
3.3 Current Pricing. FledgeNow is currently offered free of charge. We do not collect payment information or charge fees for use of the Service at this time.
3.4 Future Monetization. We may introduce paid subscription tiers or features in the future. If we do, we will provide advance notice to existing users, update these Terms accordingly, and will not begin charging any user without that user's affirmative consent to the revised terms and pricing.
4. Acceptable Use
You agree not to:
- Configure or use the Service to monitor any individual without that individual's knowledge, where such knowledge is required under Section 2.3 or applicable law;
- Use the Service to harass, stalk, intimidate, or exert coercive control over any person, including another adult Nest member;
- Attempt to reverse-engineer, decompile, or interfere with the Service's operation;
- Send SOS or Emergency Alerts for non-urgent, routine, or conversational purposes. These features are designed to bypass silent mode and Do Not Disturb settings for genuine, time-sensitive safety concerns only. By using them, you agree not to abuse them — including using them to get someone's attention for ordinary conversation, to express frustration, or to pressure or punish another Nest member;
- Misrepresent your relationship to any Nest member, or grant yourself Nest Admin sharing-configuration privileges over a minor for whom you are not the parent or legal guardian or authorized caregiver.
Misuse of the SOS or Emergency Alert features may result in suspension of those features for your account, in addition to any other remedies available to us under these Terms.
We reserve the right to suspend or terminate accounts that violate this section.
5. SOS and Emergency Alerts — Important Limitations
5.1 SOS lets a Nest member broadcast an urgent alert, together with their current location and approximate street address, to all members of their Nest. Emergency Alerts let a Nest member attempt to reach one specific member urgently. Both features are designed to bypass silent mode and Do Not Disturb settings where technically supported by the recipient's device and operating system, and are built on Apple's Critical Alerts capability. SOS and Emergency Alerts remain available on a device even if the Nest Admin has turned off passive automatic notifications for that device (see Section 3.2).
5.2 THESE FEATURES ARE NOT A SUBSTITUTE FOR EMERGENCY SERVICES. IN A LIFE-THREATENING EMERGENCY, CONTACT 911 (OR YOUR LOCAL EMERGENCY NUMBER) IMMEDIATELY. FLEDGENOW DOES NOT MONITOR, DISPATCH, OR RESPOND TO EMERGENCIES AND HAS NO OBLIGATION OR ABILITY TO DO SO.
5.3 We do not guarantee that an SOS or Emergency Alert (or the location or address included in an SOS) will be delivered, will be accurate, will produce an audible sound, or will be received or acknowledged by any recipient in any particular timeframe or at all. Delivery and accuracy depend on factors outside our control, including but not limited to device settings, location-permission state, GPS and network conditions, operating system behavior, device power state, and third-party platform availability (including Apple's Critical Alerts entitlement, which may be modified, restricted, or revoked by Apple at any time).
5.4 No Abuse. By using SOS or Emergency Alerts, you agree to use them only for genuine, time-sensitive safety concerns, and agree not to send them for non-urgent or routine communication. We may suspend SOS and/or Emergency Alert privileges for accounts found to be misusing these features.
6. Trip Detection and Location Data — Important Limitations
6.1 Trip start/end detection, battery alerts, permission-change alerts, the location map, and the location/address included in an SOS rely on automated sensors, device data, GPS, reverse geocoding, and algorithmic inference. We do not guarantee the accuracy, completeness, or timeliness of any notification, location, or address. Trips may be missed, misdetected, or delayed; locations may be stale or imprecise; and notifications may not reflect a Nest member's actual real-time status or whereabouts.
6.2 To provide the features described in Section 1, the Service collects and processes device location while the app is in use and in the background, and may store a member's most recently reported location so it can be displayed to other members of that member's Nest. Location and related data are shared only within the member's Nest and are handled as described in our Privacy Policy. A member can limit or revoke location access at any time through their device settings, which may reduce or disable location-dependent features.
6.3 The Service is not a vehicle safety, crash-prevention, or driver-monitoring system, and does not evaluate or score driving behavior.
6.4 You acknowledge that reliance on the Service's notifications, locations, or addresses for safety-critical decisions is at your own risk, subject to the limitations in this Section and Section 9.
7. Intellectual Property
The Service, including its software, design, trademarks (including "FledgeNow"), and content, is owned by Eagletpip LLC or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EAGLETPIP LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF LIFE, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING WITHOUT LIMITATION ANY FAILURE, DELAY, OR INACCURACY OF ANY NOTIFICATION, TRIP DETECTION EVENT, LOCATION, ADDRESS, SOS, OR EMERGENCY ALERT. BECAUSE THE SERVICE IS CURRENTLY PROVIDED FREE OF CHARGE, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED FIFTY U.S. DOLLARS ($50). IF WE INTRODUCE PAID FEATURES IN THE FUTURE, THIS SECTION WILL BE UPDATED TO REFLECT AN APPROPRIATE LIABILITY CAP TIED TO AMOUNTS PAID.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
10. Indemnification
You agree to indemnify and hold harmless Eagletpip LLC from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, misuse of the Service (including misconfiguration of Nest sharing settings), or violation of any third party's rights, including any Minor Member's rights.
11. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms. You may stop using the Service and delete your account at any time via in-app settings or by contacting ilango@eagletpip.com.
12. Governing Law and Dispute Resolution
12.1 These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles.
12.2 Informal Resolution First. Before bringing any formal claim, you agree to first contact us at ilango@eagletpip.com and give us at least 30 days to try to resolve the dispute informally and in good faith.
12.3 Venue. If a dispute cannot be resolved informally, you and Eagletpip agree that it will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction and venue of those courts. Either party may still bring a qualifying individual claim in small claims court.
12.4 Future changes to dispute resolution. We may in the future introduce binding individual arbitration and a class-action waiver. We will do so only after review by legal counsel, and will notify you of any such change as described in Section 15 before it takes effect.
13. Availability
The Service is currently offered in the United States only and is not intended for use in other countries at this time. We plan to expand availability to Canada and potentially other countries in the future; before we do, we will update this Section and our Privacy Policy to reflect the laws applicable in those regions (including, for Canada, the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation).
14. Apple App Store — Additional Terms
These Terms are between you and Eagletpip LLC only, and not with Apple Inc. ("Apple"). To the extent you obtained the FledgeNow app through the Apple App Store, the following apply:
14.1 Apple is not responsible for the Service or its content, and has no obligation to furnish any maintenance or support services for the Service.
14.2 The license granted to you is limited to a non-transferable license to use the app on any Apple-branded device that you own or control, as permitted by the App Store Usage Rules, except that the app may be accessed by other accounts associated with you via Family Sharing or volume purchasing.
14.3 In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
14.4 Apple is not responsible for addressing any claims by you or a third party relating to the app or your possession and/or use of it, including product-liability claims, claims that the app fails to conform to any legal or regulatory requirement, claims under consumer-protection or privacy law, and claims that the app infringes a third party's intellectual property rights.
14.5 You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
14.6 Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via the app or email prior to the changes taking effect. Continued use of the Service after changes take effect constitutes acceptance.
